Third-Party Services and Products; Other Users
Reela facilitates functionalities within the Services enabling users to import and export data, including Customer Content and Output, with third-party services. This encompasses capabilities that allow the connection of your Reela account to third-party services (such as YouTube or Facebook or Reela.com platform) using multiple API keys. These third-party or Reela’s services are governed by their respective API protocols. By utilizing these functions, you consent to Reela facilitating the transfer of data to and from the pertinent third-party services. Reela disclaims responsibility for the activities of these third-party services concerning your transmitted data. Additionally, the Services may provide links to third-party websites, over which Reela maintains no control, nor assumes responsibility for their content. Each third-party service operates under its own terms and conditions, including privacy policies similar to the Google Privacy Policy.
Third-Party Services: You acknowledge that the Services will permit or assist you in accessing, engaging with, and/or obtaining services from various supported platforms and third parties via third-party websites or applications (collectively, “Third-Party Services”). These Third-Party Services are independent of Reela’s supervision. Reela does not review, endorse, monitor, approve, guarantee, or uphold any representations concerning these Third-Party Services, and is not accountable for them. Your utilization of any Third-Party Services is conducted at your own risk and discretion. Reela shall bear no liability for any interactions, decisions, agreements, arrangements, or services procured from such Third-Party Services. Your involvement with Third-Party Services is solely governed by their applicable terms and conditions. Any agreement or transaction undertaken through Third-Party Services is strictly between you and the relevant third party, not with Reela. You are responsible for adhering to all applicable terms of the Third-Party Services accessed or subscribed to in connection with the Services. Should any Third-Party Services cease to provide their programs on reasonable terms, we may discontinue such functionalities without obligation to provide notice, refund, credit, or other compensation.
Other Users: Each participant is individually accountable for their own Customer Content and Output. As we do not regulate the Customer Content, you agree that Reela holds no responsibility for any such content, regardless of origin. Reela assumes no liability or accountability for any Customer Content or Output accessed during the use of the Services, including its accuracy, timeliness, suitability, or quality. Your interactions with other users are exclusively your responsibility. Reela is not liable for any loss (including economic loss), damage, or reputational harm resulting from such interactions. In the event of a dispute between you and another user, Reela is not obliged to intervene unless legally compelled. Note that other users may access, view, utilize, alter, and replicate any of your Customer Content or Output submitted to any "Public" area of the Services. Reela is not responsible for any disclosure of your Confidential Information due to your failure to safeguard these settings. You affirm that the proprietor of any global intellectual property rights in your Customer Content has waived all such rights and has granted you the right to license as accorded herein.
Release: You hereby release and entirely discharge Reela (along with our officers, affiliates, partners, employees, agents, successors, and assigns) from, and waive all preceding, present, and subsequent disputes, claims, controversies, demands, rights, obligations, liabilities, actions, and causes of action of every nature (including personal injuries, death, and property damage) that have arisen or may arise, directly or indirectly, from or relating to the Services (including any engagements with, or acts or omissions of, other users or any Third-Party Services and products).
AI-Based Output
Suitability of Results: When utilizing Reela's Services, you may receive Output that is unpredictable or unsuitable for your intended use. The Output may not be distinct, as other Reela customers might produce identical or similar results. Furthermore, such Output may not be eligible for protection under Intellectual Property Rights.
Restriction on AI/ML Use: It is strictly prohibited for you, or any third party under your direction, to utilize any content, data, Output, or information received from Reela, including Outputs, to directly or indirectly develop, train, test, or enhance any machine learning algorithms or artificial intelligence systems, inclusive of all associated models, frameworks, or parameters.
Advancement of AI and Technology: You grant Reela comprehensive rights to utilize your AI-Based Output to improve our artificial intelligence safety protocols, to foster the development and enhancement of our technologies, and to refine our products and Services.
Limitation of Liability: Reela is not liable for any AI-Based Output that may, solely as a result of engaging with the Services (without any human involvement) and due to the probabilistic nature inherent in machine learning algorithms, lead to errors, inaccuracies, or unintended consequences. This includes AI-Based Output that (a) is incorrect, (b) fails to accurately represent real entities or facts, (c) could be harmful, defamatory, or offensive to specific races, minorities, genders, creeds, or other categories, or (d) may conflict with religious, ethical, or moral values.
Prohibition of Infringing or Harmful Use: The Services must not be used in ways that are unlawful or potentially harmful to others, or that infringe upon their rights. No rights or licenses are granted for using the name, image, likeness, voice, or personal details of any individual, whether celebrity or otherwise. Consequently, creating or using Custom Avatars that include images of persons, regardless of consent, is done at your own risk. You are prohibited from using the AI or Avatars to create harmful, defamatory, or illegal AI-Based Output. Reela reserves the right to prohibit your use of the Services and to pursue appropriate legal action as allowed by law. You must also refrain from reverse-engineering the Services or using them to build a competing product or service. You agree to indemnify us for your use of the Services as described in these Terms.
Disclosure Obligations: If required by the applicable laws in the jurisdiction where you plan to utilize the Services, you must explicitly disclose that any Output shared, posted, or published is generated by AI, in a manner that avoids any reasonable misunderstanding (for instance, by prefacing content with a statement clarifying that parts or all of the Output are AI-generated).
Disclaimers
Reela, along with our suppliers providing third-party services, makes no guarantees that the Services and/or Outputs will meet your expectations, be available without interruption, timely, secure, free of errors, or accurate and reliable. We do not warrant that the Services will be free from viruses or other harmful components, complete, legal, or safe. Should applicable law mandate any warranties concerning the Services and/or Outputs, all such warranties are limited to a duration of 90 (ninety) days from the initial use date. Reela disclaims all responsibility or liability regarding the content accessible through the Services, including Customer Content and/or Output, and any content or services provided by third-party services. Reela neither controls nor evaluates Customer Content and is not accountable for what users post, transmit, or share via the Services. Reela is not liable in any way for third-party services related to or used in conjunction with the Services and/or Outputs, including the failure of any such third-party services or affiliated platforms.
Under no circumstances shall Reela, its subsidiaries, officers, directors, employees, shareholders, agents, or suppliers providing third-party services, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages arising from or related to these Terms or your use of the Services. This remains true even if Reela has been informed of the potential for such damages resulting from: (i) errors, mistakes, or inaccuracies within the Services, (ii) personal injury or property damage resulting from your access to and use of the Services, (iii) unauthorized access to or use of our secure servers and any personal or financial information stored therein, (iv) interruptions or cessation of transmission to or from the Services, (v) any malware, including bugs, viruses, or Trojan horses, that may be transmitted to or through the Services by third parties, (vi) the use of third-party content, and/or (vii) any errors or omissions, or any loss or damage incurred as a result of your use of the Services, whether based on warranty, contract, tort, or any other legal theory, and regardless of whether Reela has been advised of the possibility of such damages. This limitation of liability is enforced to the maximum extent allowed by law in the relevant jurisdiction.
You agree not to hold Reela responsible or liable for any content accessed through the Services, specifically acknowledging that Reela will not be liable for any defamatory, offensive, or illegal conduct of any third party, and the risk of harm or damage from the foregoing remains solely your responsibility.
Certain jurisdictions do not permit the exclusion of implied warranties, meaning the above exclusion may not apply to you. Similarly, some jurisdictions do not allow limitations on the duration of an implied warranty, so the aforementioned limitation may not apply to you.
Indemnification
You, along with any entity or individual you represent or are represented by ("Indemnifier"), agree to indemnify and hold harmless Reela, including its subsidiaries, officers, affiliates, partners, directors, employees, and agents (collectively referred to as "Indemnified Parties"), against any and all claims, demands, obligations, losses, liabilities, costs, and expenses (including attorney's fees) asserted by any third party arising from or related to: (a) the Indemnifier's use of the Services and/or Outputs, (b) the Indemnifier’s breach of these Terms, (c) the Indemnifier’s violation of applicable laws or regulations, (d) the Indemnifier’s Customer Content/Output, (e) the Indemnifier’s use of Third-Party Services, and (f) violations of any third party rights by the Indemnifier, including violations of intellectual property or privacy rights, or (g) any actions or decisions by the Indemnifier that may prejudice or materially/adversely affect the Indemnified Parties.
Reela reserves the right to assume exclusive defense and control of any matter at the Indemnifier's expense, for which the Indemnifier is obliged to indemnify us, with the requirement that the Indemnifier cooperates completely with our defense of such claims. The Indemnifier agrees not to settle any claim without obtaining prior written consent from Reela.
Any claim initiated by the Indemnified Parties under this agreement shall serve as conclusive evidence that such a claim has arisen, and the notice given shall be conclusive proof of the amount due by the Indemnifier. The Indemnified Parties are not required to take preliminary steps, issue demands, exercise remedies, or secure judgments against the Indemnifier or any other party before making a claim.
For the avoidance of doubt, the Indemnifier's obligation to indemnify the Indemnified Parties arises immediately upon the Indemnified Parties incurring any loss or upon the instigation of any claim or suit, regardless of any available defenses or rights to appeal. The failure of the Indemnified Parties to notify the Indemnifier of a claim does not relieve the Indemnifier of their indemnification obligations under these Terms.
The indemnification rights of the Indemnified Parties are neither limited nor affected by any knowledge the Indemnified Parties may have obtained, whether before or after the execution of these Terms, nor by any investigations or diligence they have undertaken.
The indemnification rights provided to the Indemnified Parties under these Terms are supplementary to any other rights or remedies available at law or equity, including the right to seek specific performance, rescission, restitution, or injunctive relief. These rights and remedies remain unaffected and unimpaired by these Terms.

Our Services do not serve as a substitute for tax, legal, or investment advice, which should be sought from professional advisors before undertaking any investments discussed in the Information. Our Services are not a solicitation by information providers, Reela, or any other entity for the buying or selling of securities. By accessing or using the Services, you affirm that you have read, understand, and accept to be bound by these Terms.
Governing Law and Dispute Resolution under California Statute
These Terms shall be governed by and construed in accordance with the laws of the State of California. Subject to specific dispute resolution clauses within these Terms, you consent to the jurisdiction of the courts and tribunals located in California for all disputes arising from or related to your use of Reela's Services. Notwithstanding any stipulated jurisdiction, Reela retains the right to initiate legal proceedings in any competent court or tribunal, and such legal actions in one jurisdiction shall not preclude proceedings in other jurisdictions, whether concurrently or sequentially. You irrevocably accept the jurisdiction of such courts and tribunals, waiving any objections to its authority or venue as inconvenient.
You agree to resolve any disputes, controversies, or claims related to or arising from your use of the Services, including any breach of these Terms or account-related issues (collectively referred to as "Dispute"), through informal resolution processes or settlement discussions with Reela. Such Disputes may be initiated by either party ("Claimant") through a written notice of dispute ("Notice"), which must contain: (a) the Claimant’s name, address, email, and phone number; (b) a detailed description of the dispute; and (c) the specific relief or outcome sought. The recipient of this Notice is granted 30 days from receipt to investigate and respond. Arbitration proceedings cannot commence until the conclusion of a 60-day informal resolution period following the Notice’s delivery ("Informal Resolution Period"). Reela is not obligated to resolve disputes it initiates through this informal process.
Dispute Resolution:
Upon conclusion of the Informal Resolution Period, any unresolved Dispute shall be adjudicated through arbitration, regardless of the Dispute amount or its readiness for court resolution. Arbitration proceedings shall conform to the California Arbitration Act, as amended or replaced.
- Seat and Venue of Arbitration: The arbitration will occur in California, which will serve as both the venue and legal seat of the proceedings, incorporating procedures outlined in the governing arbitration laws.
- Number of Arbitrators: Arbitration will be presided over by three arbitrators; Reela will appoint one, and you shall appoint the second within 30 days post-notice. These appointed arbitrators will together select a third arbitrator, who will act as the presiding arbitrator, within a subsequent 30-day period.
- Language and Timing of Arbitration: The proceedings shall be conducted in English. The tribunal aims to issue a final award within six months from tribunal constitution, subject to potential extension upon mutual consent.
- Costs and Award: The final award, rendered in writing with reasons, will be binding. Costs related to arbitration, including fees and tribunal expenses, will be borne by you, the user, unless otherwise dictated by the arbitration tribunal. The tribunal may also award interest on sums determined.
- Confidentiality and Enforcement: The process and outcomes of any arbitration proceedings are confidential unless disclosure is necessary for enforcement. The existence of ongoing arbitration does not suspend the fulfillment of any undisputed contractual obligations.
By agreeing to these Terms, both parties acknowledge that arbitration awards are conclusive and enforceable by any competent jurisdiction court. Reela is under no obligation to expend its funds or assume financial liabilities in initiating arbitration.
For further information on California’s governing arbitration statutes, please refer to California Code of Civil Procedure §§ 1280-1294.2,

Reela shall not be held liable or accountable for any failure to fulfill, or delays in fulfilling, any of our obligations under these Terms when such failures or delays are attributable to circumstances beyond our reasonable control.
